How Delithius Labs IP Licensing Works: From Agreement to License Key

Licensed, not sold: what you receive

The five steps

Pick a tier

Here is who each license is for. The Czo Developer License is for engineering teams designing toward the Czo secure-memory module. The Tier I Sovereign Stack License is for chip and device programs bringing the Czo module into their own silicon or device. The Embed license lets you build QC Fix Engine results into your own product. The Run for Clients or Resell license lets you run QC Fix Engine results for your clients or resell them. The LagZero Platform License is for creators and streaming platforms.

Each tier has a help price and a full price. The help price is for individuals and growing companies. The full price is for established companies, listed companies and government. You certify your price tier at checkout.

Read the full agreement on the order page

The full License Agreement for your tier opens on the order page. It stays published at a stable address to save or print. The agreements are also on the license terms page, with version numbers and SHA-256 fingerprints. The order page shows exactly what your tier delivers on day one before you pay.

Accept it (checkbox and typed name)

Published agreements carry version numbers and SHA-256 hashes, so your legal team can confirm that the file they read is the file on the site. You can read the same agreement again later in your licensee portal.

You accept the agreement with a checkbox and your typed name before checkout. Your acceptance is recorded before checkout.

Pay at Stripe Checkout

Stripe Checkout takes a card or a U.S. bank account (ACH). Every license fee is paid in full, up front. Card and bank details go straight to Stripe.

Receive your license key and API key

Your license key and API key issue the moment Stripe confirms the payment has cleared. A U.S. bank account (ACH) payment issues the key once the bank transfer clears.

What arrives with every tier

Every tier adds the same core items:

QC Fix Engine and LagZero licenses add use of the live engine. Czo technical files are added to your portal as each release ships.

How long a license lasts

You receive a license for the United States for the term of your tier. The term is one year for Czo, for the QC Fix Engine and for the LagZero help price ($2,500 paid once). The LagZero full price is one contract year that renews each year.

Running royalties and renewal

Each tier also carries the running royalty shown on its card and in its agreement. The LagZero full price renews each year through Stripe. In your licensee portal, Manage billing ends the renewal at the close of the current contract year, and your license key stays active through that date.

Refunds

Each license fee is non-refundable once your license key issues (Section 10 of each agreement). The order page lists everything your tier delivers before you pay, so you can read the full list first.

Where the engines run

The engines run on Delithius Labs servers and stay sealed with Delithius Labs. Licensees receive results through the live API. You get usable results for your product, and the engine stays with Delithius Labs. Read more on the trust and security page.

Which law governs

North Carolina law governs the agreements. Venue is the state courts of Wayne County, North Carolina, or the U.S. District Court for the Eastern District of North Carolina (Section 15.1 of each agreement). Read the agreement for your tier for the full wording.
